Termination notice period
The termination notice period is the delay, set by the contract or by law, between the notification of the end of the contract and its taking effect. It protects the other party by giving it time to adjust.
Termination notice period: where does it come from and what is it for?
The notice period is the counterpart of the right to exit a contract. Article 1210 of the French Civil Code prohibits perpetual commitments; article 1211 draws the consequence: in an open-ended contract, either party may end it at any time, by observing the contractual notice period or, failing one, a reasonable period. In a fixed-term contract, article 1212 requires the opposite, performance until the term, unless an early termination clause or an agreement between the parties provides otherwise.
The notice period therefore plays two roles depending on the contract term. In an open-ended contract, it dates the end: notification plus notice equals effective date. In a fixed-term contract with auto-renewal, it sets the notification deadline, past which the contract renews. In both cases, termination is exercised in good faith (article 1104).
Almost every continuing contract provides one: services, maintenance, subscriptions, distribution, leases, employment contracts. Its length ranges from a few weeks to several months, sometimes proportional to the length of the relationship, and the contract generally specifies the form of the notification.
Contractual or statutory notice period: which one applies?
The written notice period applies between the parties, but the law may impose a minimum. Between businesses, under French law, ending an established commercial relationship without sufficient notice engages the liability of its author (article L. 442-1, II of the French Commercial Code), regardless of the written notice, depending on the length of the relationship; since the 2019 reform, that liability is excluded when the notice given is at least eighteen months. The contractual notice period is therefore a minimum, not always a ceiling.
Other regimes set their own period. For a French commercial lease, notice is given at least six months before the term (article L. 145-9 of the Commercial Code). For a commercial agent, article L. 134-11 of the same code provides one month’s notice in the first year, two months in the second and three months beyond. In employment law, the dismissal notice period under article L. 1234-1 of the Labor Code depends on seniority, subject to more favorable collective agreements.
How do you compute the contract end date?
The computation depends on three variables: the notification date, taken at sending or at receipt depending on the clause, the length of the notice period, and how it is counted, date to date or to the end of a calendar month. Example: an open-ended services agreement provides three months’ notice from receipt. The registered letter is received on April 14, 2026: the contract ends on July 14, 2026. If the clause starts the notice period at the end of the month of receipt, it ends on July 31, 2026.
For a fixed-term contract with auto-renewal, the useful date is the notification deadline: end of the current period minus the notice period. A contract ending on December 31 with three months’ notice is terminated by a notification received no later than September 30. Short notice periods, one month for example, are the ones most often missed: the alert goes out well ahead.
Frequent mistakes: counting from sending when the clause refers to receipt; notifying by email when a registered letter is required; forgetting that the contract continues on the same terms during the notice period, since degrading those terms can be treated as abrupt termination.
What the notice period changes for each team
For the legal department, the notice period is negotiated consistently with the contract term and the foreseeable length of the relationship, and drafted together with its notification form. For procurement, it measures exit flexibility from a supplier: one month or twelve months are not the same commitment. For finance, it translates into spending committed until the effective date, to be entered in forecasts.
For HR, the notice periods of employment contracts and collective agreements add to those of payroll, training or health insurance providers. For sales teams, the notice period in their own customer contracts gives visibility on upcoming terminations and time to react before they take effect.
Notice period, auto-renewal, amendment: how the notions fit together
The notice period is the data point that turns an end date into an action deadline. With auto-renewal, it sets the termination window; with an amendment, it can be lengthened, shortened or given a new notification form, and the tracking dates change with it. For each active contract, the repository carries three dates: end of period, notice period, notification deadline.
In CLM (contract lifecycle management), the contract manager tracks these dates, decides before the deadline and keeps the proof of notification, letter and acknowledgment of receipt, with the contract. An imported contract with no identified notice period is a contract whose exit is not under control.
In practice
- The procurement department of a French mid-market company compares two equivalent maintenance offers and chooses the one with a two-month rather than six-month notice period, to keep the option of changing provider during the year.
- A legal department prepares the end of a twelve-year relationship with a distributor and grants eighteen months’ notice, well beyond the three months in the contract, to rule out the risk of abrupt termination.
- An HR department lists the notice periods of its payroll and training providers in the repository, next to the collective-agreement notice periods applicable to employees.
- A finance department discovers that an equipment rental contract terminated by email remains payable for six months: the clause required a registered letter, and the notice period never started running.
- A sales team receives a customer’s termination on March 3 with a three-month notice period; it has until June 3 to propose a new offer before the termination takes effect.
In Docform
Docform extracts the notice period and its notification method on import and at signature, derives the notification deadline and triggers reminders by default at D-90, D-60, D-30 and D-7, configurable, to the people concerned in each team. Each extracted notice period stays linked to its source clause, and the contract list can be filtered by deadline and exported to Excel for the deadline review.
Frequently asked questions
- What happens if the notice period is not respected?
- In an open-ended contract, termination takes effect at the end of the contractual notice period, even if notified late, and the party that abruptly ends an established relationship may have to compensate the loss. In an auto-renewing contract, a late notification lets the contract renew for a full period.
- Contractual or statutory notice period, which applies?
- The written notice period applies between the parties, but the law may impose a minimum, notably for ending established commercial relationships (article L. 442-1, II of the French Commercial Code), commercial leases or employment contracts. In practice, companies apply the longer of the two periods, and document the length of the relationship to justify the notice granted.
- What notice period applies to terminate a services agreement?
- The one provided in the contract. Failing a clause in an open-ended contract, article 1211 of the French Civil Code requires a reasonable period, assessed according to the length and importance of the relationship. Between businesses, no statutory figure applies to an ordinary services agreement, but article L. 442-1, II of the French Commercial Code sanctions a notice period that is insufficient given the length of the relationship.
- Does the notice period run from sending or from receipt of the letter?
- The clause decides. Many French contracts start the notice period on receipt of the registered letter, sometimes on its first presentation. Absent any detail, companies use the receipt date, the more cautious one, and keep the acknowledgment of receipt with the contract. Email is admitted only if the contract provides for it as a notification method.
- Can a fixed-term contract be terminated before its term?
- In principle no: article 1212 of the French Civil Code requires performance of the contract until its term. Early exit requires a termination clause in the contract, an agreement between the parties, often formalized by amendment, or a sufficiently serious breach by the other party opening the way to rescission (articles 1224 et seq.). The contractual notice period, for its part, only concerns termination at the term.
