Auto-renewal (tacite reconduction)

Auto-renewal, “tacite reconduction” in French, is the mechanism by which a fixed-term contract renews automatically at its term, for a new period, if neither party terminates it within the notice period provided.

What does the French Civil Code say about tacit renewal?

The French Civil Code governs contract duration in articles 1210 to 1215. Article 1210 prohibits perpetual commitments. Article 1212 requires a fixed-term contract to be performed until its term, with no unilateral exit. Article 1214 defines renewal: a new contract, with identical content, but of indefinite duration. Article 1215 provides that the tacit continuation of a contract after its term produces the same effects as that renewal.

Without a clause, a fixed-term contract that keeps being performed after its term therefore becomes an open-ended contract, which either party may end by observing the contractual notice period or, failing one, a reasonable notice period (article 1211). The auto-renewal clause sets that outcome aside: the parties arrange in advance for renewals over fixed periods, under freedom of contract (article 1103).

Renewal differs from extension. Extending (prorogation) means pushing back the term of the same contract by an agreement reached before it expires (article 1213), most often by amendment. Renewing means starting a new period, on the terms of the original contract, without a new instrument.

How does an auto-renewal clause work?

The clause sets four elements: the initial term, the length of each renewed period, often different, for example three years then one year, the time before the term for notifying the refusal to renew, and the form of that notification, registered letter with acknowledgment of receipt in most French contracts. Some clauses cap the number of renewals or provide for price indexation at each period.

Example: a maintenance contract signed on March 15, 2024 for twenty-four months reaches its term on March 14, 2026. It renews for twelve-month periods unless terminated three months before the term. The notification must therefore be received no later than December 14, 2025. Past that date, the contract runs until March 14, 2027, and the same window reopens every year.

The useful date is not the end of the contract but the notification deadline, to be recomputed for each renewed period. When the clause counts the period from receipt of the letter, companies send the notification with a margin to allow for postal delays.

Between businesses or with a consumer: different rules

Between businesses, the clause is lawful and no prior information is required: vigilance rests with each party. Good faith (article 1104 of the Civil Code) and article L. 442-1, II of the French Commercial Code still apply: when the commercial relationship is established and long-standing, courts examine whether a refusal to renew notified within the contractual time alone leaves sufficient notice.

For some contracts with consumers, article L. 215-1 of the French Consumer Code requires the business to inform the customer of the option not to renew, in writing, at the earliest three months and at the latest one month before the end of the period allowing refusal. Failing that, the consumer may terminate free of charge at any time from the renewal date. Article L. 215-3 extends these rules to non-professionals, such as associations.

Why does auto-renewal cost companies money?

The contracts concerned are recurring ones: software subscriptions, maintenance, telecoms, equipment rental, cleaning or security services, group insurance. For procurement, a missed renewal is a year of spending without competitive tendering. For finance, it is an unbudgeted commitment. For the legal department, it is a lawful clause whose risk lies entirely in tracking.

The most frequent mistakes: tracking the end date instead of the notification deadline; notifying by email when the clause requires a registered letter; confusing the initial term with the renewed period; not recomputing the deadline after the first renewal; ignoring the supplier’s general terms, which often contain the clause; leaving old contracts in scanned PDFs that nobody has reread.

How do you track renewal dates?

Tracking rests on three dates per contract: the end of the current period, the notice period and the resulting notification deadline. Added to these are a designated owner, the required notification method and the decision to make before the deadline: renegotiate, terminate or let it run. The alert is set on the deadline, for example at D-90, not on the end of the contract.

In CLM (contract lifecycle management), these dates are extracted from the clauses when the contract enters the repository, whether it is a newly signed contract or a backlog of imported ones. The termination notice period sets the exit window; an amendment can change the term or remove the clause; the contract manager owns the decision at each deadline.

In practice

  • The procurement department of a French mid-market company discovers, while importing its supplier contracts, that a software license worth 40,000 euros a year renews every January 1 with a six-month notice period; the decision is put on the June calendar.
  • A legal department rereads a telecom provider’s general terms and finds a renewal by thirty-six-month periods that is absent from the signed contract; it negotiates an amendment bringing the period down to twelve months.
  • An HR department tracks the notification deadline of the group health insurance contract to launch the tender before the annual renewal window.
  • A finance department reconciles the list of renewable contracts with next year’s budget and identifies the commitments that will renew without a decision if nobody acts.
  • A sales team checks that its own subscription contracts state the renewed period and the notice period, so that recurring revenue rests on a clear clause.

In Docform

On import as at signature, Docform’s AI identifies the renewal clause, the renewed term and the notice period, computes the notification deadline and schedules configurable reminders, sent to the people concerned. Reminders go out by default at D-90, D-60, D-30 and D-7 before the deadline, and each extracted date stays linked to the source clause of the contract.

Frequently asked questions

Can you exit a contract that has auto-renewed?
Once renewed, the contract runs for the new period under its terms. Early exit depends on the termination clauses provided or on an agreement with the other party. With a consumer, article L. 215-1 of the French Consumer Code opens a free termination if the prior information was not sent. Hence the point of acting before the notification deadline.
How do you compute the notification deadline?
End date of the current period, minus the contractual notice period, taking into account the notification method provided (registered letter, receipt delay). For a contract ending on December 31 with a three-month notice period, the notification must be received no later than September 30. The date is recomputed for each renewed period. Docform computes that date from the extracted clauses.
Is an auto-renewal clause valid between businesses?
Yes. Between businesses, the clause falls under freedom of contract (article 1103 of the French Civil Code) and the law imposes no prior information. It remains subject to good faith and, for established commercial relationships, to article L. 442-1, II of the French Commercial Code on abrupt termination, which can lead courts to assess whether the notice left by a refusal to renew was sufficient.
What happens if the contract says nothing about its term?
If the parties keep performing a fixed-term contract after its term without a renewal clause, article 1215 of the French Civil Code treats it as a tacit renewal producing the effects of a renewal: a new contract, with identical content, but of indefinite duration (article 1214). Either party may then end it by observing the contractual notice period or, failing one, a reasonable one (article 1211).
Can an amendment remove an auto-renewal clause?
Yes. A contract can only be modified by mutual consent of the parties (article 1193 of the French Civil Code): an amendment signed by both parties can remove the clause, shorten the renewed period or change the notice period. The amendment is attached to the original contract, and the new dates replace the old ones in deadline tracking.

Termination notice periodThe termination notice period is the delay, set by the contract or by law, between the notification of the end of the contract and its taking effect. It forms part of the contract and is read with it.
