Services agreement template: the clauses to know
The services agreement frames an assignment entrusted to an independent provider: consulting, development, maintenance, training, marketing. It protects both parties on what most often goes wrong: scope, price, deadlines, ownership of what is produced and liability.
When to use it
- For any assignment entrusted to a company or a freelancer, one-off or recurring.
- As a framework agreement, completed by purchase orders or statements of work when services repeat.
- On the provider side, as the basis of a commercial proposal, so as not to negotiate on the customer’s paper.
What the template covers
- Purpose and scope
- What is expected, described precisely enough to settle a disagreement: deliverables, service levels, what is excluded. Often referred to a schedule.
- Price and payment terms
- Fixed price, time and materials or subscription, payment schedule, payment terms, late penalties, price revision for long contracts.
- Term and termination
- Fixed or open-ended term, renewal, notice period, termination for breach and consequences: treatment of work in progress, exit assistance.
- Obligations of the provider and the customer
- Best efforts or results, respect of deadlines, duty to advise, and on the customer side, provision of the necessary information and access.
- Intellectual property
- Who owns the deliverables: assignment to the customer, license, or retention by the provider. The most forgotten clause and the costliest to forget.
- Liability, confidentiality, data
- Liability cap, insurance, confidentiality of exchanged information, and processing of personal data, often through an attached data processing agreement.
Common mistakes
- A vague scope, which turns every request into a discussion about what was included.
- No intellectual property clause: without a written assignment (article L. 131-3 of the French Intellectual Property Code), the provider remains the owner of what it created.
- Unframed subcontracting, with a provider delegating without authorization.
- Annual auto-renewal on a service nobody steers any more.

Frequently asked questions
- Services agreement or framework agreement?
- The services agreement covers a defined assignment. When assignments repeat with the same provider, a framework agreement sets the general terms once, and each assignment is the subject of a purchase order or statement of work referring to it.
- What should you check in a contract proposed by a provider?
- The scope and exclusions, the liability cap, ownership of deliverables, termination and exit conditions, and the renewal clause. Docform’s review AI compares those points with your playbook.
- Is the template suited to freelancers?
- Yes, the same template serves with a company or a freelancer. The provisions on the provider’s independence matter, to avoid any confusion with an employment relationship.
